1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the LoopChat mobile application, website, and related services (collectively, the "Service") provided by COZYHEAT SERVICES LLC ("we," "us," or "our").
By creating an account or using LoopChat, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 16 years old to use LoopChat. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
If you are using LoopChat on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Account
To access most features, you must register for an account. You agree to:
- Provide accurate and complete registration information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use
LoopChat is a community platform. You agree to use it responsibly and not to:
- Harass, bully, threaten, or intimidate other users
- Post hate speech, discriminatory content, or content that incites violence
- Share illegal content, including child sexual abuse material (CSAM)
- Spam, phish, or distribute malware or malicious links
- Impersonate another person or misrepresent your affiliation
- Scrape, crawl, or use automated tools to access the Service without permission
- Attempt to circumvent security measures or access restricted areas
- Use the Service for any unlawful purpose
Group administrators and moderators may set additional rules for their communities, provided they do not conflict with these Terms.
5. User-Generated Content
You retain ownership of content you create on LoopChat ("User Content"), including messages, posts, listings, and media. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Service.
You are solely responsible for your User Content. We do not endorse any User Content and are not liable for content posted by users. We may remove content that violates these Terms or our Community Guidelines, with or without notice.

6. Marketplace & Transactions
LoopChat may enable users to buy, sell, or trade items within communities. You acknowledge that:
- LoopChat is a platform only — we are not a party to transactions between users
- We do not verify listings, guarantee items, or handle payments between users unless explicitly stated
- You are responsible for complying with applicable laws regarding sales, taxes, and prohibited items
- Disputes between buyers and sellers must be resolved directly between the parties involved
We may remove listings that violate these Terms or appear fraudulent, illegal, or harmful.
7. Voice Rooms
Voice rooms allow real-time audio communication between users. By participating in voice rooms, you agree not to record other users without their consent where required by law, and not to use voice rooms to harass, threaten, or broadcast prohibited content.
We may monitor voice room metadata and respond to reports. We do not routinely record voice sessions unless you explicitly opt in to a recording feature.
8. Reporting & Enforcement
If you encounter content or behavior that violates these Terms, use the in-app reporting tools or contact us at cedar@cozyheatservicesllc.online.
We may take action including content removal, temporary suspension, or permanent account termination. Repeat offenders and severe violations (threats, CSAM, fraud) may be reported to law enforcement.
If your account or content is actioned, you may submit an appeal through Settings → Account → Appeal within 30 days.
9. Intellectual Property
The LoopChat name, logo, app design, and all related branding are owned by COZYHEAT SERVICES LLC. You may not use our trademarks without prior written consent.
The Service and its original content (excluding User Content) are protected by copyright and other intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service without authorization.
10. Third-Party Services
LoopChat may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of any third party. Your use of third-party services is at your own risk.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for the conduct of any user or third party on or off the platform.
12. Limitation of Liability
To the fullest extent permitted by law, COZYHEAT SERVICES LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data, profits, or goodwill.
Our total liability for any claim related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
13. Indemnification
You agree to indemnify and hold harmless COZYHEAT SERVICES LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
14. Termination
You may delete your account at any time through Settings → Account → Delete Account. We may suspend or terminate your access at any time for violation of these Terms or for any other reason at our discretion.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will remain in effect.
15. Governing Law
These Terms are governed by the laws of the State of Alaska, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Juneau, Alaska, unless otherwise required by applicable law.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notification and posted on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
